September 30, 1996

• Article V, Section 3 added.

September 8, 1997

• The Residents Section status was changed from non-voting member to voting member status, with all the privileges and responsibilities attached to this status.
• Article III, Section 6 added.
• Article IV, Section 6 and Section 7 added.

• Article III, Section 4: The AAO-HNS Bylaws were amended to include the BOG Chair as a member of the AAO-HNS Nominating Committee. Note: this change was not reflected in the BOG Rules & Regulations until November 10, 2009.

March 8, 1999

• Article II, Section 6 amended to allow more than three (3) terms on the Board of Governors at discretion of local society and BOG Executive Committee.
• Article VI, Sections 3, 4 and 5 amended to increase number of committee members and to allow reappointment to committees at discretion of BOG Executive Committee.

September 27, 1999

• Article III, Section 6 amended to include election of Member-at-Large at fall meeting.
• Article VI, Section 1 amended to include Member-at-Large on the Executive Committee.
• Article VI, Section 8 added establishing the Carrier Relations Committee and creating seat for committee chair on Executive Committee. Following sections were renumbered.

March 6, 2000

• Article 2, Section 12 added establishing the Invited Guest membership category.
• Article 3, Section 5, amended to extend the Secretary's term to two years, and to limit the number of terms the Secretary can serve to two. This takes effect in September 2001.
• Article 6, Section 3 amended to increase the number of members on the BOG Rules and Regulations Committee to ten (10).
• Article 6, Section 5 amended to increase the number of members on the BOG Socioeconomic and Grassroots Committee to fifteen (15).

September 2001

• Article VI, Section 1-8, amended to have the committee chairs cast the deciding vote within each committee.

March 2002

• Article VI, Section 1 amended that the BOG Physicians Reimbursement Study Group be converted into a formal committee and the chair of this committee sit on the BOG Executive Committee. The following is the description and charge of the Physician Reimbursement Committee:
• • Search for new solutions including legal theories, to provide the membership relief from unfair reimbursement:

a. Investigate physician’s legal rights
b. A written reference for websites that inform physicians of their legal rights
c. Investigate relationships between carriers and claims editing software companies
d. Investigate potential unfair business practices
e. Develop legal theories to litigate unfair reimbursement practices
f. Develop/promote/educate physicians in model contract language in conjunction with AMA.

September 2002

• Article 6, Section 1 amended that a Big On Goals committee be formed as a sub-committee of the Public Relations Representative Committee and that the Chair of the Sub-committee serve on the BOG Executive Committee.
• That the Academy award honor points for serving in BOG Committees in accordance to the Academy’s existing guidelines for other committees and do so retroactively to 1998.

March 8, 2004

• Article VI, Section 2-8 amended to provide that the committee chairs have no vote on their respective committees except in cases of a tie.
• Article VI, Section 3-8 amended to add a Vice-Chair to each committee who shall assist the committee chair and, in the absence of the committee chair, serve as the chair of the committee, the committee meeting, and participate at the BOG Executive Committee meeting.

March 6, 2005

• Article VI, Section 3 – 8 amended to have the BOG Committee application process coincide with the AAO-HNS committee appointment process.

September 26, 2005

• Article VI Section 8a added Big On Goals committee as a free standing committee of the Board of Governors.

June 6, 2006

• Article III, Section 1, added including committee chairs of the Board of Governors. Public Relations and Legislative Representatives are eligible to serve as an officer.
• Article III, added Section 6 role of the Member-at-Large. Changed Section 6 to Section 7.
• Article III, Section 5, added to the responsibilities of Secretary: the Board of Governors miniseminar.
• Article IV, Section 3, added The Chair of the Board of Governors will cast a vote during the election process. The votes will be placed in separate sealed envelopes and given to the teller. The envelopes will only be opened in case of a tie. After ballot counting is complete the Chair’s ballot will be returned with the results to the chair.

March 5, 2007

• Article II, Section I, added include military and retired fellows in the BOG membership.
• Article II, Section 12 is revised to allow individual members, corresponding societies and affiliate societies to be invited to attend and participate in BOG committee meetings and to participate in the General Assembly as a non-voting guest.

September 17, 2007

• Article IV, Section 8 and 8a are revised by removing Carrier Relations Committee which sunsetted at WAC 2007 and renumbering Big On Goals Committee from Section 8a to Section 8.

  • Section 2: The former Section 2 was renamed, reworked, and moved to Article III, Section 2. The current Section 2 was renamed to “BOG Society Formation” and its language was pulled from the second half of the second sentence and the third sentence from the former Article II, Section 3. “Fewer than” replaced “less than.”

  • Section 5: The former Section 5 was reworked and moved to Article III, Section 3. The current Section 5 is an entirely new section (new title, new language).
  • Section 6: The former Section 6 was reworked and moved to Article III, Section 4. The section is taken from the former Section 4 and Section 11 of this Article and was renamed from “Readmission of Organizations” to “Readmission of BOG Societies.” The first paragraph of the current Section 6 was formerly Section 4 of this Article. Language changes included changing “…be represented by a Governor or Alternate Governor at three (3) successive meetings” to “meet BOG society structure criteria.” The second paragraph of the current article is slightly revised language (in keeping with the global changes indicated at the beginning of these amendments) from the second and third sentences of what was formally Section 11 of this Article.

• • What was formerly Article III (and the 7 sections under this article) was moved to Article IV. The current Article III contains sections that were formerly part of Article II or Article V. The Article was renamed “Governance Representation.”
  • Section 1: The former Section 1 was reworked and moved to Article IV, Section 1. The current Section 1 was formerly Article II, Section 1. The section was renamed from “Academy Membership Requirement” to “AAO-HNS Membership Requirement.” The member type “Residents” was added to permissible AAO-HNS membership categories. Specific article references were inserted.
  • Section 2: The former Section 2 was reworked and moved to Article IV, Section 2. The current Section 2 is a significant rework of the former Article II, Section 2. The section was renamed from “Organizational Members” to “Governors.” Rather than stipulating a specific approval process, the language was changed to reflect that Governor candidates are simply subject to final approval from the BOG Executive Committee (rather than being vetted through the BOG Executive Committee and sent to the full BOG for approval).
  • Section 3: The former Section 3 was reworked and moved to Article IV, Section 3. The current Section 3 is a rework of Article II, Section 5. Numerical numbers in parentheses were added where appropriate. “State Legislation” was changed to “Legislation;” “State Public Education” was changed to “Public Relations;” “The Executive Committee of the Board of Governors shall review the qualifications of the nominees and make a determination as to whether to ask for additional nominees or approve the nominees for presentation to the full Board of Governors” was changed to “The Legislative Representative’s and the Public Relations Representative’s appointment, respectively, is subject to final approval by the BOG Executive Committee;” and “the Academy office” was changed to “AAO-HNS staff.”
  • Section 4: The former Section 4 was reworked and moved to Article IV, Section 4. The current Section 4 is a significant rework of the former Article II, Section 6. The term limit and reappointment process of former Article II, Section 6 were changed to: “The Governor and Alternate Governors may be reappointed at the discretion of the society.” Language was added to require societies to replace an Alternate Governor that assumes the role of Governor during their term as an Alternate Governor. The final paragraph of the former Article II, Section 6 was deleted.
  • Section 5: The former Section 5 was reworked and moved to Article IV, Section 5. The first paragraph of the current Section 5 is loosely based on the former Article II, Section 11. Language was added referencing the “Governor’s roles and responsibilities document.” “…three (3) successive meetings” was changed to “two (2) out of (3) successive meetings.” Language regarding a valid written excuse and designating an alternate in writing was added. Termination responsibility was given specifically to the BOG Executive Committee rather than the BOG as a whole and the Board of Directors. Language was softened from “be terminated” to “may terminate.” Language about the participation status of the society and appointing a new Governor is entirely new language. The second paragraph of the current Section 5 was formerly Article V, Section 1. “Secretary” was changed to “AAO-HNS’s BOG staff.” The third paragraph of the current Section 5 was formerly Article V, Section 2.
  • Section 6: The former Section 6 was reworked and moved to Article IV, Section 6. The current Section 6 was formerly Article V, Section 3. “At least” was inserted before “one (1) Board of Governors training session….”
  • Section 7: The former Section 7 was reworked and moved to Article IV, Section 7. The current Section 7 was formerly Article II, Section 9.
  • Section 8: There is no corresponding former section. The current Section 8 was formerly Article II, Section 7. The names of specific predecessor organizations were removed. “…shall be members” was changed to “…are considered ex-officio members…” and “…but shall have no vote” was changed to “…and shall have no vote.”
  • Section 9: There is no corresponding former section. The current Section 9 was formerly Article II, Section 8. “AAO-HNS” was inserted before “Board of Directors” in the section’s title and in the body of the section. “…shall be members” was changed to “…shall be considered ex-officio members” and “…but shall have no vote” was changed to “…and shall have no vote.”
  • Section 10: There is no corresponding former section. The current Section 10 was formerly Article II, Section 12. “Individual members, corresponding societies and affiliate societies may be invited to attend and participate in BOG committee meetings and to participate in the General Assembly as a non-voting guest” was changed to “Individual members of the AAO-HNS may join the BOG as an Invited Guest.” Article and Section references were updated and the types of members permitted to be an invited guest were updated to reflect the current provisions in Section 1 of this Article.

• • The former Article IV (and its 7 sections) were reworked and moved to the current Article V. Article IV was subsequently renamed “Officers.”
  • Section 1: The former Section 1 was reworked and moved to Article V, Section 1. The current Section 1 was formerly Article III, Section 1. “Representatives” was added after “Public Relations.” The final sentence of the former Article III, Section 1 requiring an Alternate Governor to give up their role as a society’s representative was deleted.
  • Section 2: The former Section 2 was moved to Article V, Section 2. The current Section 2 was formerly Article III, Section 2. “Executive and Finance Committee” was updated to “Executive Committee.” The final sentence of the current Section 2 is entirely new language.
    
  • Section 3: The former Section 3 was reworked and moved to Article V, Section 3. The current Section 3 was formerly Article III, Section 3. “The Chair-Elect shall be an ex-officio member of the Academy's Executive and Finance Committee and the Board of Directors without vote” was changed to “The Chair-Elect shall be a voting member of the AAO-HNS Board of Directors and a non-voting member of the AAO-HNS Executive Committee.” The final sentence of the current Section 3 is entirely new language.
  • Section 4: The former Section 4 was moved to Article V, Section 4. The current Section 4 was formerly Article III, Section 4. The final sentence of the current Section 4 is entirely new language.
  • Section 5: The former Section 5 was deleted from the Rules & Regulations (it is contained in the BOG Policies & Procedures). The current Section 5 was formerly Article III, Section 5. Numerical numbers in parentheses were added where needed. The Secretary’s responsibilities were changed from “…the minutes of its meetings and planning the BOG Miniseminar, including topic selection, speaker selection, application submission to the Miniseminar program, and moderating” to “the educational content of the BOG Miniseminar, including topic selection, speaker selection, abstract submission to the AAO-HNS, and moderating the seminar.”
  • Section 6: The former Section 6 was reworked and moved to Article V, Section 5. The current Section 6 was formerly Article III, Section 6. The provision allowing the Member-at-Large to be reelected for “one (1) successive two-year term” was disallowed. The final sentence of the current Section 6 is an entirely new responsibility for the Member-at-Large.
  • Section 7: The former Section 7 was deleted as it was decided that the current Article V, Section 5 adequately addressed the former Section 7. The current Section 7 was formerly Article III, Section 7. In the first paragraph, “and” in front of “Member-at-Large” was changed to “and/or.” “BOG Nominee Platform Committee” was changed to “BOG Nominating Committee.”

• • Article V was renamed “Meetings” (formerly “Resignation or Removal of Governor or Alternate Governor”).
  • Section 1: The former Section 1 was moved to the second paragraph of Article III, Section 5. The current Section 1 was formerly Article IV, Section 1. “…in conjunction with the annual fall and spring meetings” was changed to “twice per year.” After “…related organizations…” the following was added: “if possible, and….”
  • Section 2: The former Section 2 was moved to the third paragraph of Article III, Section 5. The current Section 2 was formerly Article IV, Section 2.
  • Section 3: The former Section 3 was moved to Article III, Section 6. The current Section 3 was formerly Article IV, Section 3. In the first paragraph, “designated” was inserted in front of “Alternate Governors.” Article reference numbers were updated. The language in the second paragraph was modified slightly to clarify the process of the Chair voting during a BOG election.
  • Section 4: There is no corresponding former section. The current Section 4 was formerly Article IV, Section 4.
  • Section 5: There is no corresponding former section. The current Section 5 was formerly Article IV, Section 6. “Resolutions from Societies must be submitted to the BOG Secretary thirty (30) days prior to the next regular meeting of the BOG” was changed to “Resolutions from BOG societies must be submitted to AAO-HNS BOG staff no fewer than thirty (30) days prior to the next regular meeting of the BOG.” “The BOG Secretary will forward them to the appropriate BOG committee for review and action” was deleted from the Section completely.

• • Article VI was renamed from “Committees” to “Board of Governors (BOG) Committees.”
  • Section 1: The former Section 1 was renamed, reworked, and moved to Section 2 of this Article. The current Section 1 is a mix of entirely new language and language removed from the former Sections 1 through 8. The first paragraph of the current Section 1 is entirely new language. The second paragraph standardizes the role and term limits of Chair and Vice Chair, pulling and incorporating similar language that was contained in the former Sections 1-8, clarifying previously unaddressed issues, and noting the exceptions for certain BOG committees. The third paragraph standardizes the composition of BOG committees and clarifies term limits and the appointment process, pulling and incorporating similar language that was contained in the former Sections 1-8, clarifying previously unaddressed issues, and noting the exceptions for certain BOG committees. The fourth paragraph is entirely new language that clarifies previously unaddressed roles on BOG committees. The fifth paragraph is partly new language that clarifies the appointment of BOD liaisons to BOG committees and partly language pulled from the former Section 5 that clarifies BOD liaison appointment to specific BOG committees. The sixth paragraph is entirely new language that clarifies previously unaddressed roles on BOG committees and brings BOG committees in-line with AAO-HNS/F committee policy.
  • Section 2: The former Section 2 was renamed, reworked, and moved to Section 3 of this Article. The current Section 2 was formerly Section 1 of this Article. “BOG” was inserted before “Executive Committee” in the title and throughout the body of the Section. Language regarding the composition of this committee was clarified and simplified. The second paragraph is entirely new language clarifying the Vice Chair’s role on this committee. The third paragraph clarifies the election process each year (this language replaced “The Board of Governors will elect the Member-at-Large at its fall meeting each year”).
  • Section 3: The former Section 3 was renamed, reworked, and moved to Section 4 of this Article. The current Section 3 was formerly Section 2 of this Article. “BOG” was inserted before “Nominating Committee” in the title and throughout the body of the Section. The first paragraph is entirely new language clarifying the role of this committee. The second paragraph is clarified language from that contained in the former Section 2. It also adds new language that allows for the reappointment of this committee’s members for up to “three (3) consecutive years.” The third paragraph is entirely new language.
  • Section 3a: There is no corresponding former section. The current Section 3a was formerly Section 4 of this Article. It changes the BOG Nominee Platform Committee to the BOG Nominee Platform Work Group. The work group’s composition was changed to be exactly that of the BOG Nominating Committee. Its charge remains the same.
  • Section 4: The former Section 4 was renamed, reworked, and moved to Section 3a of this Article. The current Section 4 was formerly Section 3 of this Article. “BOG” was inserted before “Rules and Regulations” in the title and throughout the body of the Section. Guidelines pertaining to the committee’s composition were moved to the current Section 1 of this Article. The committee’s charge was amended to include “the review of one-third of all BOG societies each year over a three (3) year cycle to ensure continued compliance” (per the provision in the current Article II, Section 7). Also, “Notebook” was changed to “Model Society Handbook,” “annual” was inserted before “selection,” and “Local/State or National” was inserted before “Model Society Award.”
  • Section 5: The title of this section was changed from “Socioeconomic and Grassroots Issues Committee” to “BOG Socioeconomic and Grassroots Committee.” “BOG” was inserted before the committee’s name in the body of the Section. Guidelines pertaining to the committee’s composition were moved to the current Section 1 of this Article.
  • Section 6: The former Section 6 (Public Relations Representatives Committee) was deleted, per the merging of the Academy and BOG Public Relations Committees. The BOG will now accomplish its public relations goals through the Academy Media & Public Relations Committee. The former section 7 was renumbered to 6 and its title was changed from “Public Relations Representative Committee” to “BOG Legislative Representatives Committee.” “BOG” was also inserted before “Legislative Representatives” throughout the body of the Section. Guidelines pertaining to the committee’s composition were moved to the current Section 1 of this Article. The committee’s charge was changed by replacing “planning the Board of Governors Legislative Training Workshop as part of the AAO-HNS instruction course program” with “with rolling out AAO-HNS legislative initiatives within local, state, and national BOG societies.”
  • Section 7: Added new task force.
  • Section 8: The former Section 8 (Big On Goals Committee) was deleted. The new Section 8 is the former Section 9. “BOG” was inserted before “Chair.” “…and at his or her discretion” was inserted before “appoint.” “…prior to the meeting by the Academy Board of Directors” was changed to “in advance by the AAO-HNS Board of Directors.”
  • Section 9: Formerly Section 10. “Ad Hoc” was deleted from the Section’s title. The current Section replaced the former language: “A majority of any committee of the Board of Governors shall constitute a quorum for the transaction of business, unless any ad hoc committee, as it regards its own meetings, shall by a majority vote of its entire membership decide otherwise.”
  • Section 10: Formerly Section 11 “BOG” was inserted before “Chair.”
  • Section 11: Formerly Section 12. The first sentence of the former Section was deleted. The second sentence was changed from “the member will be asked to resign at the discretion of the chair” to “the member may be removed or asked to resign at the majority vote of the BOG Executive Committee.”
• Article VII
• • Section 1: Added the last sentence for clarification purposes.
